Terms of service.

These Terms of Service (the "Terms") govern your use of Social Anchor LLC's services, your relationship with us as a client, and your access to our website at socialanchor.io. By engaging Social Anchor or by using our website, you agree to these Terms. If you do not agree, do not use our services.

1. The services we provide

Social Anchor provides short-form video production and social media management services to businesses. Depending on the package you select, our services may include:

The specific deliverables, volume, schedule, and any custom inclusions for your engagement will be set out in the service agreement, proposal, or order form you accept when you become a client (the "Order"). If anything in the Order conflicts with these Terms, the Order governs that specific item.

To become a client, you must:

By engaging Social Anchor, you represent that you have the authority to grant us access to the social media accounts, brand assets, and other materials you provide, and that doing so does not violate any third-party rights or agreements you are subject to.

3. Fees, billing, and ad spend

Recurring monthly fees

Our services are billed monthly in advance on the date specified in your Order. Stripe automatically charges the payment method on file each billing cycle. All fees are non-refundable except as set out in our Refund & Cancellation Policy.

Custom packages and add-ons

If you request more videos, more ad campaigns, or other services beyond your standard package, additional fees may apply. These fees will be agreed in writing before work begins and added to your recurring invoice or billed separately.

Advertising spend

When your package includes advertising services, the advertising budget itself is paid by you directly to the advertising platform (Facebook, Instagram, or other). Advertising budgets are separate from our service fees and are not collected, held, or remitted by Social Anchor.

Taxes

Fees do not include taxes. You are responsible for any sales tax, use tax, value added tax, or similar taxes assessed on the services, except for taxes based on our net income.

Late or failed payments

If a payment fails or is not received by the due date, we may suspend services until payment is received. We may charge a late fee of 1.5% per month on overdue amounts, to the extent permitted by law.

5. Ownership of work and intellectual property

Final delivered videos

Upon full payment of the applicable fees, Social Anchor grants you a perpetual, worldwide, non-exclusive license to use the final delivered videos for your business purposes, including publication on social media platforms, your website, advertising, and other marketing materials.

Your materials

You retain all rights to the brand assets, trademarks, products, and other materials you provide to us. You grant Social Anchor a license to use those materials solely for the purpose of producing the deliverables under your Order.

Raw footage and project files

Raw footage, source files, editing project files, and other work-in-progress materials remain the property of Social Anchor and are not delivered to clients as part of the standard service. We retain these materials for internal use and may delete them at any time after the end of the engagement.

Third-party content

Music, stock footage, fonts, and other third-party content used in your videos are licensed for use in the delivered videos only and subject to the terms of the licenses we hold. You may not extract or reuse third-party content outside of the delivered videos.

Our pre-existing IP

Social Anchor retains all rights to our methodologies, templates, workflows, software, automation systems, content frameworks, and any other intellectual property we developed before or independently of your engagement.

6. Confidentiality

Each party may receive confidential information from the other in the course of the engagement, including business strategy, financial information, customer data, and proprietary materials. Each party agrees to:

8. Term and termination

Term

Engagements are month-to-month, automatically renewing each billing cycle until terminated.

Cancellation by you

You may cancel at any time by contacting us. Cancellation is effective at the end of the current billing cycle. Specific notice and refund terms are described in our Refund & Cancellation Policy.

Termination by Social Anchor

We may suspend or terminate services if you breach these Terms, fail to pay, engage in unlawful conduct, or behave in a way that materially harms our team, our clients, or our reputation. Where possible, we will provide notice and an opportunity to cure.

Effect of termination

Upon termination, we will stop work, cease access to your accounts, and deliver any completed work that has been paid for. Sections of these Terms that by their nature should survive termination will survive, including ownership, confidentiality, warranties, liability, and dispute resolution.

9. Warranties and disclaimers

Social Anchor warrants that we will perform our services with reasonable care and skill, consistent with industry standards for short-form video production and social media management.

No guarantee of specific results. Social media performance depends on factors outside our control, including platform algorithms, audience behavior, market conditions, and creative variables. We do not guarantee any specific number of views, followers, leads, sales, or business outcomes. We do guarantee that we will apply professional effort and expertise to the work.

Except for the limited warranty above, the services are provided "as is" and "as available." To the maximum extent permitted by law, Social Anchor disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law:

11. Indemnification

You will indemnify and hold Social Anchor harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:

Social Anchor will indemnify and hold you harmless from any claims that the services we provide infringe the intellectual property rights of a third party, excluding claims arising from materials you provided or your unauthorized use of the deliverables.

12. Disputes and governing law

Informal resolution first

If a dispute arises, the parties will first attempt to resolve it informally by contacting each other in good faith. Most issues can be resolved by a direct conversation.

Governing law

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict of laws principles.

Venue

Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Caddo Parish, Louisiana, and both parties consent to the exclusive jurisdiction of those courts.

Equitable relief

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

13. General provisions

Entire agreement

These Terms, together with the Order, our Privacy Policy, and our Refund & Cancellation Policy, are the entire agreement between you and Social Anchor regarding the services and supersede any prior agreements.

Changes

We may update these Terms from time to time. Material changes will be communicated by email or by prominent notice on our site. Your continued use of the services after the effective date of any change constitutes acceptance.

Assignment

You may not assign these Terms or transfer your obligations without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, acts of war, civil unrest, pandemics, platform outages, internet failures, and acts of government.

Severability and waiver

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Failure to enforce any provision is not a waiver of that provision.
